Terms of Use

1. Agreement to These Terms

These Terms of Use ("Terms") form a legally binding agreement between you and A440 VENTURES PTE. LTD ("Pocket," "we," "us," or "our") governing your access to and use of the Pocket mobile application and related services.

By using Pocket, you agree to these Terms. If you do not agree, do not use Pocket.

Pocket is currently offered through our mobile application only.

2. About Pocket

Pocket is an AI assistant for cofounders that currently includes features such as finance workflows, project tracking, AI assistant functionality, and integrations with services such as Gmail, Outlook, calendar tools, and LinkedIn.

3. Eligibility

You must be at least 18 years old to use Pocket.

4. Accounts

You are responsible for:

• providing accurate account information
• keeping your login credentials secure
• all activity that occurs under your account

You must notify us promptly if you believe your account has been accessed without authorisation.

5. Subscription and Billing

Paid subscriptions to Pocket are currently purchased only through:

• Apple App Store
• Google Play

Pocket does not currently offer:

• direct web billing
• a free trial

Payments, subscription renewals, cancellations, and refund handling are subject to the terms, billing rules, and policies of the relevant app store provider.

6. Acceptable Use

You must not use Pocket:

• for unlawful, fraudulent, or misleading activity
• to interfere with or disrupt Pocket or related systems
• to attempt unauthorised access to our systems, user accounts, or connected services
• to infringe the rights of others
• to submit or transmit harmful code, malware, or abusive material
• in a way that violates the terms or policies of a connected third-party service

7. Integrations and Third-Party Services

Pocket may connect to third-party services, including services such as Gmail, Outlook, calendar providers, LinkedIn, AI providers, Apple, and Google.

Your use of third-party services is also governed by the terms and policies of those providers. We are not responsible for third-party services or for changes they make to their products, policies, availability, or access rules.

8. AI Features

Pocket includes AI-powered features.

When you use these features:

• your prompts, instructions, and related content may be processed by third-party AI providers
• AI-generated output may be incomplete, inaccurate, or unsuitable for your specific circumstances
• you remain responsible for reviewing important outputs before relying on them, especially for financial, legal, operational, or business decisions

9. Intellectual Property

Pocket and its related software, design, branding, content, and materials are owned by us or our licensors and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use Pocket for your personal or internal business use.

You must not copy, modify, distribute, sell, reverse engineer, or create derivative works from Pocket except where applicable law clearly permits it.

10. Privacy

Your use of Pocket is also governed by our Privacy Policy: https://pocket.a440.vc/privacy-policy

11. Suspension and Termination

We may suspend or terminate your access to Pocket if:

• you breach these Terms
• your use creates legal, security, or operational risk
• we are required to do so by law or by a third-party platform or provider

You may stop using Pocket at any time and may manage subscription cancellation through the relevant app store.

12. Service Changes

We may change, update, suspend, or discontinue all or part of Pocket from time to time.

We do not guarantee uninterrupted or error-free availability.

13. Disclaimers

Pocket is provided on an "as is" and "as available" basis to the extent permitted by law.

To the extent permitted by law, we disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes or limits any rights or remedies that cannot lawfully be excluded or limited under applicable law.

14. Limitation of Liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of profits, revenues, goodwill, business opportunities, or data arising from or related to your use of Pocket.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to Pocket or these Terms will not exceed the greater of:

• the amount you paid us through the relevant app store for Pocket in the 6 months before the event giving rise to the claim
• SGD 150

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Indemnity

To the extent permitted by law, you agree to indemnify and hold us harmless against claims, losses, liabilities, and expenses arising out of:

• your breach of these Terms
• your unlawful use of Pocket
• your infringement of another person's rights

16. Governing Law and Courts

These Terms are governed by the laws of Singapore.

The courts of Singapore will have exclusive jurisdiction over disputes arising out of or in connection with these Terms or your use of Pocket.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. Continued use of Pocket after updated Terms take effect means you accept the revised Terms.
